Terms of Service

1. Service description

MachineGuardian (“the Service”) ingests vibration, temperature, and other telemetry from customer-installed sensors, applies ISO-standards-based analysis (ISO 10816, ISO 14694, ISO 15243, ISO 1940-1, ISO 8579-2, and related references), and provides advisory recommendations regarding the operating condition of monitored equipment.

2. Advisory nature

All output of the Service — including predicted Remaining Useful Life, Health Index scores, fault-mode hypotheses, and recommended actions — is advisory only. It does not replace qualified personnel, in-person inspection, or sound engineering judgment. Final decisions regarding maintenance, operation, repair, or shutdown of equipment remain the sole responsibility of the equipment owner.

3. Customer data

You retain ownership of all telemetry and metadata you submit. You grant NorthStar Industries a license to process it to (a) operate the Service on your behalf and (b) improve the Service’s machine-learning models using aggregated, de-identified telemetry pooled across customers within the same equipment class.

Before contributing to any cross-customer model, telemetry is stripped of all identifiers (tenant, site, asset tag, location). Resulting global models are accessible only to NorthStar Industries administrators and never expose any customer’s raw data to any other party. You may opt out of cross-model training at any time by written notice or via the administrative console.

4. SMS messaging program & opt-in

A standalone, public-facing walkthrough of the SMS opt-in flow — including a verbatim reproduction of the in-app consent screen — is published at https://www.machineguardian.io/sms-opt-in.

Program: MachineGuardian Equipment Alerts, operated by NorthStar Industries. Message type: transactional / informational service alerts only (no marketing). Alerts notify a subscribed user when a piece of their own monitored equipment crosses a configured condition threshold (e.g. a critical vibration alarm).

Who opts in & how (message flow): Only authenticated MachineGuardian users (maintenance and reliability staff at customer organizations) can opt in. After signing in, a user opens Notifications → SMS alerts in the application, enters their own mobile number in E.164 format, and checks an explicit, un-checked-by- default consent box before any message is sent. The consent checkbox reads:

“I agree to receive recurring automated SMS equipment-condition alerts from MachineGuardian at the mobile number above. Message frequency varies — typically up to one message per day per critical alert. Msg & data rates may apply. Reply STOP to unsubscribe and HELP for help. Consent is not a condition of using the Service. See our Privacy Policy and Terms of Service.”

Consent is collected solely for this program and is never purchased, shared, or transferred. Message frequency varies with equipment condition; message and data rates may apply. Reply STOP to any message to unsubscribe, or HELP for assistance; you may also withdraw consent any time in your in-app notification settings.

5. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA OR PREDICTIONS.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHSTAR INDUSTRIES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, EQUIPMENT DAMAGE, PRODUCTION INTERRUPTION, OR DATA — ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE OR ANY OUTPUT THEREOF.

7. Indemnification

You agree to indemnify and hold harmless NorthStar Industries from any third-party claim arising out of your use of the Service or your violation of these Terms.

8. Termination

Either party may terminate for material breach uncured after thirty (30) days’ written notice. Upon termination, your access ends and your data is returned or deleted per our retention policy.

9. Changes

We may revise these Terms; material changes are communicated to active users at least thirty (30) days before taking effect.

10. Governing law

These Terms are governed by the laws of the jurisdiction in which NorthStar Industries has its principal place of business, without regard to conflict-of-law principles.
